Terms of Service

These Terms of Service govern your access to and use of Dailies, including the Dailies website, Creator Studio, APIs, and related services (together, the “Service”). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be legally able to enter a binding agreement to use the Service. You are responsible for maintaining the security of your account and for all activity under it. You must provide accurate information and promptly update it when it changes. You may not share credentials, impersonate another person, or use the Service for unlawful, fraudulent, abusive, or harmful activity.

2. Your content and authorization

You retain ownership of videos, audio, images, text, analytics, and other material you submit or connect (“Your Content”). You grant Dailies a limited, worldwide, non-exclusive license to host, copy, process, transform, transmit, and display Your Content only as necessary to provide, secure, maintain, and improve the Service you request.

You represent that you have all rights, permissions, and consents needed for Your Content and for Dailies to process it. You must not upload or connect material that infringes rights, contains unlawful content, or violates a third party’s terms. You are responsible for reviewing every generated edit and obtaining any releases, music licenses, or other permissions required for publication.

3. Google, YouTube, and connected services

Dailies may use Google Cloud, Vertex AI, Gemini, Google Cloud Storage, Transcoder, and other infrastructure providers to process requests. If you optionally connect YouTube, you authorize Dailies to access only the scopes you approve, such as read-only YouTube Analytics data, and to use that data to ground editing recommendations. You may disconnect the integration at any time. Your use of YouTube remains subject to Google’s and YouTube’s terms and policies.

4. AI-generated output

The Service may generate analyses, recommendations, music, sound effects, images, animations, captions, edit plans, and rendered videos (“Generated Output”). Generated Output can be inaccurate, incomplete, repetitive, unsuitable, or unavailable. It is not professional, legal, financial, medical, or copyright advice. You must review Generated Output before relying on it, distributing it, or publishing it.

Ownership and permitted use of Generated Output may depend on the model, provider, region, and applicable provider terms. Dailies does not promise that any Generated Output is unique, non-infringing, or eligible for monetization. You are responsible for checking provider-specific rights and attribution requirements.

5. Acceptable use

You may not use the Service to violate law or another person’s rights; create or distribute malicious, deceptive, abusive, exploitative, or sexually explicit content involving minors; evade safeguards; reverse engineer the Service; interfere with its operation; scrape it; overload it; or use it to build a competing service without permission. We may investigate suspected violations and suspend or terminate access where reasonably necessary.

6. Storage, limits, and deletion

The Service may impose file-size, duration, rate, quota, model, or storage limits. We do not guarantee uninterrupted processing or preservation of any upload, project, checkpoint, or Generated Output. You may request deletion of your account or project data using the support contact provided with your deployment. Deletion may be delayed by backups, legal obligations, fraud prevention, or provider retention windows.

7. Fees and third-party services

Any fees will be disclosed before they are charged. Third-party services may impose separate costs, quotas, terms, or availability limits. Dailies is not responsible for third-party outages, model capacity, policy decisions, pricing, or changes to those services.

8. Disclaimers

To the maximum extent permitted by law, the Service and all Generated Output are provided “as is” and “as available,” without warranties of any kind, express or implied. We disclaim warranties of accuracy, reliability, merchantability, fitness for a particular purpose, non-infringement, availability, security, and suitability for publication or monetization.

9. Limitation of liability

To the maximum extent permitted by law, Dailies and its creators, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or opportunities arising from or related to the Service. Our total liability for claims arising from the Service will not exceed the greater of the amount you paid us for the Service in the preceding twelve months or one hundred U.S. dollars.

10. Indemnification

You agree to defend, indemnify, and hold harmless Dailies and its creators, affiliates, and service providers from claims, damages, liabilities, costs, and expenses arising from Your Content, your use of the Service, your violation of these Terms, or your violation of another person’s rights or applicable law.

11. Changes and termination

We may modify the Service or these Terms. We will post the updated Terms and change the effective date. If a change materially affects your rights, we will provide notice where required. You may stop using the Service at any time. We may suspend or terminate access for violations, security risks, legal reasons, or service discontinuation. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations, indemnification, and dispute provisions.

12. Dispute resolution and arbitration

Please read this section carefully. It affects how disputes are resolved and limits the ability to bring or participate in a class action. Except for the matters listed below, you and Dailies agree that any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be resolved by final and binding individual arbitration, rather than in court, under the Federal Arbitration Act where applicable.

The arbitration will be administered by a mutually agreed arbitration provider under its consumer rules. The hearing will be conducted remotely unless the arbitrator determines that an in-person hearing is necessary. The arbitrator may award the same individual relief that a court could award. The arbitrator may not award relief affecting people who are not parties to the arbitration.

You and Dailies each waive the right to a jury trial and agree not to bring or participate in a class, collective, consolidated, or representative action. Claims may be brought only in an individual capacity. If a court determines that this class-action waiver is unenforceable for a particular claim, that claim must proceed in court and not in arbitration, and the remaining claims will continue in individual arbitration.

Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek temporary or preliminary injunctive relief in court to protect intellectual-property, confidentiality, privacy, or account-security rights while arbitration proceeds. Before starting arbitration, the parties will make a good-faith effort to resolve the dispute by sending written notice describing the claim and requested relief. Notices to Dailies must be sent to the legal contact listed below. You must send your notice within the applicable limitations period.

No opt-out; account deletion. This arbitration agreement applies when you accept these Terms and use the Service. There is no separate opt-out procedure. If you do not agree to arbitration or any other part of these Terms, you must stop using the Service and may request deletion of your account and project data through the contact method below.

13. General

These Terms are governed by the laws applicable in the jurisdiction where the Dailies operator is established, without regard to conflict-of-law rules. If a provision is unenforceable, the remaining provisions remain in effect. These Terms, together with any expressly incorporated policies, are the entire agreement about the Service.
